Indemnity Waiver for Research Compounds

In consideration of the purchase of research compounds from US Precision Health, I, the undersigned customer, agree to this indemnity waiver ("Indemnity Waiver") to indemnify, defend, and hold harmless US Precision Health, its officers, directors, employees, agents, successors, suppliers, partners, owners, and affiliates (hereinafter referred to as "Company") from any and all claims, liabilities, losses, damages, costs, and expenses, including reasonable attorneys' fees, arising from or related to the purchase, possession, or use of the research compounds.

Intended Use and Understanding

I understand and acknowledge that the research compounds sold by US Precision Health are intended solely for research purposes and are not approved by the U.S. Food and Drug Administration (FDA) for human or animal use. I agree to use the compounds according to all applicable laws and regulations and take full responsibility for any risks associated with their purchase, possession, and use.

I acknowledge that these compounds are for laboratory and research use only, and I will comply with all federal, state, and local regulations governing their handling, storage, and use.

Release of Claims

I expressly release, discharge, and waive any and all claims, demands, causes of action, suits, judgments, and liabilities of any kind against US Precision Health that may arise from or be connected to the purchase, possession, or use of the research compounds on account of personal or psychological injury, illness, pain, temporary or permanent suffering, disability, death, property damage, financial loss, or any other harm.

I understand that by signing this release, I am waiving any and all claims of any kind arising out of or attributable to my engaging in the purchase and use of research compounds, including those claims that may be unknown to me, or which I do not suspect to exist at this time.

Waiver of Unknown Claims

WITH THE INTENTION OF WAIVING ALL UNKNOWN AND UNSUSPECTED CLAIMS, I HEREBY EXPRESSLY WAIVE ALL RIGHTS, BENEFITS, AND PROTECTIONS I MAY HAVE UNDER APPLICABLE STATE LAW, INCLUDING BUT NOT LIMITED TO PROVISIONS THAT STATE: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

I acknowledge that this waiver is extraordinary and that I understand its significance.

Indemnification

I further agree to defend, indemnify, and hold harmless US Precision Health against any claims (including any claims arising out of my own negligence or the ordinary negligence of the Company), liabilities, damages, expenses, awards, costs, and losses, including but not limited to personal or psychological injury, illness, pain, temporary or permanent suffering, disability, death, property damage, financial loss, or any other harm, whether direct or indirect, foreseeable or unforeseeable, resulting from or connected to the purchase, possession, or use of the research compounds.

Such indemnification shall include reasonable attorneys' fees, expert witness fees and any other reasonable costs incurred in the defense of any legal proceeding asserting such a claim.

This indemnity waiver does not extend to claims for gross negligence, willful misconduct, or any other liabilities that applicable law does not permit to be released by agreement.

Binding Nature of Agreement

This indemnity waiver is binding on and shall inure to the benefit of US Precision Health and me and our respective successors and assigns, as well as my heirs, executors, administrators, and legal representatives. This agreement is enforceable against all parties and their successors.

By purchasing research compounds from US Precision Health, I confirm that I have read and understood this indemnity waiver. I voluntarily agree to its terms and conditions with full understanding of the legal implications.

Severability

If any term or provision of this Indemnity Waiver is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Indemnity Waiver or invalidate or render unenforceable such term or provision in any other jurisdiction.

The remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

Governing Law

All matters arising out of or relating to this Indemnity Waiver shall be governed by and construed in accordance with the internal laws of the State of Arizona without giving effect to any choice or conflict of law provision or rule (whether of the State of Arizona or any other jurisdiction).

You agree to submit to the jurisdiction and venue of the appropriate state and federal courts located in Arizona for the resolution of any disputes relating to this Waiver Agreement.

Acknowledgment and Agreement

By purchasing research compounds from US Precision Health, I confirm that:

• I have read and fully understood this Indemnity Waiver
• I am at least 18 years of age and have the legal capacity to enter into this agreement
• I voluntarily agree to its terms and conditions with full understanding of the legal implications
• I understand that these compounds are for research and laboratory use only
• I assume all risks associated with the purchase, possession, and use of these compounds
• I waive all rights to pursue claims against US Precision Health related to these compounds
